Our Terms
1. ACCEPTANCE OF TERMS
These Terms of Service ("Terms") apply to your use of orderingbase.com (the "Site") and to truck dispatching and related support services offered by Ordering Base Inc. ("Ordering Base", "we", "us" or "our"), located at 7720 Ogontz Ave, Philadelphia, PA 19150. By accessing the Site, submitting an onboard or contact form, calling or messaging us, or engaging our dispatch services, you agree to these Terms. If you do not agree, do not use the Site or our services. If you are accepting on behalf of a company or fleet, you represent that you have authority to bind that entity.
2. DEFINITIONS
"Carrier" means a motor carrier, owner-operator or small fleet that engages Ordering Base for dispatch or back-office support. "Broker" and "Shipper" mean freight brokers, shippers or other third parties that tender loads. "Dispatch Services" means load searching and booking, rate negotiation support, trip and schedule planning, broker setup paperwork, credit checks, invoicing support and related communications. "Dispatch Agreement" means the separate written service agreement between Ordering Base and a Carrier that sets fees, payment terms and the specific scope of work.
3. OUR SERVICES
Ordering Base provides Dispatch Services to Carriers operating equipment such as box trucks, dry vans, reefers, flatbeds, hot shots and power-only units, for OTR, regional or local lanes. We work load boards and our broker network, present load options, negotiate rates when engaged to do so, help with rate confirmations and broker packets, assist with POD and invoicing workflows, and stay in communication with you and the broker or shipper as needed. We act as a dispatch and administrative support provider on behalf of the Carriers we serve. We are not a motor carrier under FMCSA authority for your freight, we do not take possession of cargo, and we do not operate your trucks or drivers.
4. NO GUARANTEE OF LOADS OR RATES
Freight markets change by lane, season, equipment and capacity. Ordering Base does not guarantee any minimum number of loads, any specific rate per mile, continuous work, or that every load search will result in a booking. Rates and availability depend on third parties. We use reasonable efforts to find suitable freight based on the preferences you give us, but final acceptance of any load is always your decision.
5. CARRIER RESPONSIBILITIES
Carriers remain solely responsible for: (a) maintaining active MC and DOT authority and all required state registrations; (b) insurance meeting broker and legal requirements; (c) equipment condition, drivers, CDLs, hours of service and drug testing programs; (d) compliance with FMCSA, DOT, state and local rules; (e) safe pickup, transport and delivery of each load; (f) accurate paperwork, including BOLs, PODs and invoices; and (g) any claims, cargo loss, damage, detention disputes or broker chargebacks related to their operations. You must provide complete and truthful information for onboarding and keep certificates of insurance, W-9 and contact details current.
6. INDEPENDENT CONTRACTOR STATUS
Ordering Base and each Carrier are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship that makes us responsible for your payroll taxes, workers' compensation, unemployment insurance or employee benefits. You control your drivers, routes and whether to accept a load we present.
7. DISPATCH AGREEMENT AND FEES
Fees, commission percentage, payment timing, factoring coordination and the exact scope of Dispatch Services are set in your Dispatch Agreement. Promotional rates (including any temporary flat commission) apply only as stated in writing. If a Dispatch Agreement conflicts with these website Terms, the Dispatch Agreement controls for that Carrier relationship. Unpaid fees may result in suspension of services after notice.
8. COMMUNICATIONS
You consent to receive service-related calls, texts, WhatsApp messages and emails at the numbers and addresses you provide, including about loads, paperwork and account setup. Message and data rates may apply. You may opt out of marketing messages at any time; we may still send transactional messages needed to perform Dispatch Services.
9. WEBSITE USE AND CONTENT
You may use the Site for lawful purposes only. You may not attempt to disrupt the Site, scrape it in a way that harms performance, or misuse forms for spam. Blog posts and website copy are for general information and may change without notice; they are not legal, tax or compliance advice. The Ordering Base name, logo, design and Site content are owned by Ordering Base Inc. and may not be copied, sold or used commercially without our prior written permission.
10. THIRD-PARTY SERVICES
Brokers, shippers, receivers, load boards, factoring companies, payment processors and mapping or communication tools are independent third parties. Their terms and privacy practices apply to their services. Ordering Base is not responsible for third-party websites, outages, payment delays or decisions made by brokers or shippers.
11. DISCLAIMERS
THE SITE AND DISPATCH SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.
12. LIMITATION OF LIABILITY
TO THE EXTENT PERMITTED BY LAW, ORDERING BASE IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST LOADS, DOWNTIME, DEADHEAD, CARGO CLAIMS OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. WE ARE NOT LIABLE FOR ACTS OR OMISSIONS OF BROKERS, SHIPPERS, RECEIVERS, FACTORING COMPANIES, OTHER CARRIERS OR YOUR DRIVERS. OUR TOTAL LIABILITY ARISING OUT OF THE SITE OR THESE TERMS WILL NOT EXCEED THE FEES YOU PAID US FOR DISPATCH SERVICES IN THE THREE MONTHS BEFORE THE CLAIM, EXCEPT WHERE A DISPATCH AGREEMENT SETS A DIFFERENT CAP.
13. INDEMNIFICATION
You agree to defend, indemnify and hold harmless Ordering Base and its officers, employees and agents from claims, damages, losses and expenses (including reasonable attorneys' fees) arising out of your use of the Site, your trucking operations, your drivers or equipment, your breach of these Terms or a Dispatch Agreement, or your violation of law or third-party rights.
14. TERMINATION
You may stop using the Site at any time. Either party may end Dispatch Services as allowed in the Dispatch Agreement. We may suspend or terminate Site access or services if you breach these Terms, provide false information, or misuse our services. Sections that by nature should survive (including fees owed, liability limits, indemnity and governing law) will survive termination.
15. GOVERNING LAW AND DISPUTES
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules. You agree that state and federal courts located in Philadelphia County, Pennsylvania are an appropriate venue for disputes arising from these Terms or the Site, unless your Dispatch Agreement requires arbitration or another forum.
16. CHANGES TO THESE TERMS
We may update these Terms by posting a revised version on this page with an updated effective date. Continued use of the Site or our services after changes become effective constitutes acceptance of the updated Terms. Material changes to a Carrier's paid services will also be handled as required in the Dispatch Agreement.
